Its so ridiculous to have an article (73) stating that "The business of a company shall be managed by or under the direction of the directors" which meant that power is given to the board as a whole.
It boils down to board's decisions cant be go against by passing a special resolution.
Yet on the other hand, these poor directors are threatened by shareholders, whom may see fit to exercise a statutory right (s152 CA) - should their views be ignored, they are allowed to pass a special resolution to alter the articles and restrict the directors' powers.
Contradicting or what?
